Acceptance of Terms

These Terms of Service ("Terms") govern your use of the VortexMint expense management platform and related services provided by VortexMint GmbH (Registration Number: FN462109k), a company incorporated under Austrian law with its registered office at Praterstraße 159, 9569 Villach, Carinthia, Austria. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Service Description

VortexMint provides a comprehensive expense management platform designed specifically for legal and finance professionals. Our services include:

• Expense tracking and processing software
• Compliance management tools
• Financial analytics and reporting
• Team collaboration features
• Customer support and training services

User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information during registration and use
• Maintain the security of your account credentials and notify us immediately of any unauthorised access
• Use the services only for lawful purposes and in accordance with these Terms
• Comply with all applicable laws and regulations, including data protection and financial compliance requirements
• Not attempt to gain unauthorised access to our systems or interfere with the proper functioning of our services
• Not use the services to transmit malicious software, spam, or other harmful content
• Respect the intellectual property rights of VortexMint and third parties

You are responsible for all activities that occur under your account and for ensuring that all users in your organisation comply with these Terms.

Account Registration and Security

To access our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security.

Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Intellectual Property

The VortexMint platform, including all software, content, trademarks, logos, and other materials, is the exclusive property of VortexMint GmbH or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms.

You retain ownership of any data you upload to our platform. However, by using our services, you grant VortexMint a licence to use, process, and store your data solely for the purpose of providing our services to you.

Payment Terms

Our services are provided on a subscription basis. Payment terms, including pricing, billing cycles, and payment methods, are specified in your service agreement or as displayed on our website. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing with 30 days' notice to existing customers.

Service Availability

We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We may perform scheduled maintenance or experience unplanned downtime. We will make reasonable efforts to provide advance notice of scheduled maintenance and to minimise service disruptions.

Limitation of Liability

To the maximum extent permitted by applicable law, VortexMint GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or operational delays
• Cost of procurement of substitute services

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you for our services in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless VortexMint GmbH, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate the service agreement at any time with appropriate notice as specified in your service contract. VortexMint may immediately suspend or terminate your access to our services if:

• You violate these Terms or our Acceptable Use Policy
• Your account becomes delinquent on payment
• You engage in fraudulent or illegal activities
• We are required to do so by law or regulatory authority

Upon termination, your right to use our services will cease immediately. We will provide you with access to export your data for a reasonable period following termination, subject to applicable law and our data retention policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Austria. For customers located in other EU member states, mandatory consumer protection laws of your country of residence may also apply.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If we cannot resolve a dispute through direct discussion, we agree to participate in good faith in mediation before pursuing litigation. For EU consumers, you may also use the European Commission's Online Dispute Resolution platform.

Changes to Terms

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and VortexMint regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
